  1. Name and General Description

    1. a. The name of the Association shall be “The Parents, Teachers and Friends Association of St. Patrick's R.C. Primary School, Corsham”.
    2. The Association shall be non-party political and non-sectarian
    3. Membership shall consist of all parents and or/guardians of pupils at the school, all teachers of the school and parishioners of St. Patrick's, Corsham and St. Anthony's. Melksham with an interest in the school.
    4. d. The Association shall have Public Liability and Personal Accident Insurance to cover its meetings and activities that are not covered through the school's insurance.
  2. Aims and Objectives of the Association

    1. The object of the Association is to advance the education of pupils in the school. In furtherance of this objective, the Association may:
      1. Develop more extended relationships between the staff, parents, parishioners and others associated with the school,
      2. Engage in activities which support the school and advance the education of the pupils attending it,
      3. Organise fundraising activities in order to provide and assist in the provision of facilities or items for education at the school, and
      4. Determine the facilities or items for education to be provided based on available funds and on the advice of the school,
      5. To promote activities which develop children's skills, encourage talent and raise standards of education, we aim to do this by extending access and participation to the greater community, increasing non-curriculum skills and creativity, and improving the quality of life in our School and the surrounding community.
  3. Annual General Meeting

    1. The Annual General Meeting shall be held in the Autumn Term
    2. Nominations shall be proposed and seconded by members and should have consent of the nominee.
  4. Committee Membership

    1. The management of the Association shall be vested in a Committee consisting of:
      1. i) Chairperson, Vice-Chairperson, Honorary Treasurer, Honorary Secretary- known as the Officers of the Association,
      2. Headteacher, Deputy Headteacher,
      3. One teacher representative,
      4. Not less than 6 and not more than 10 parent representatives, and
      5. One representative from each of the school's parishes of St. Patrick's, Corsham and St. Anthony's. Melksham, who may also be parents of pupils at the school.
    2. The Officers and Committee shall be elected at the Annual General Meeting and shall serve until the next Annual General Meeting.
    3. Four members of the Committee shall constitute a quorum.
  5. Committee Functions

    1. The management and organisation of the activities of the Association shall be decided by the Committee in accordance with the constitution.
    2. Committee meetings shall be held at least once a term and shall be open to all Association members.
    3. To be in good standing, a Committee member shall attend meetings regularly and fulfil Committee duties.
    4. The Committee may fill vacancies by co-option until the next Annual General Meeting.
    5. The Committee shall have the power to co-opt additional members to replace members not in good standing or when otherwise needed.
    6. The Committee may appoint sub-committees and shall prescribe their function provided that all acts and proceedings of any such sub-committee shall be reported to the Committee as soon as possible and provided further that no such sub-committee shall spend funds of the Association otherwise than in accordance with a budget agreed by the Committee.
    7. Any matters not provided for in the Constitution and concerning the organisation and activities of the Association shall be dealt with by the Committee, whose decision shall be final.
  6. Financial Accounting

    1. The Honorary Treasurer shall be responsible for keeping account of all income and expenditure and shall present a Financial Report at all Committee meetings, and shall present the accounts for approval by the members at the Annual General Meeting.
    2. The accounts and books of the Association shall be audited annually. The auditor will not be a member of the Committee.
    3. Bank accounts shall be operated in the name of the Association and withdrawls shall be made on the signature of any two of the Officers of the Association.
    4. The financial year shall be the term of the Committee.
    5. A Finance Sub-Committee may be established as a Standing Committee of the Association to agree expenditure up to approximately £75.00 for urgent items required by the school. This Sub-Committee shall be chaired by the Hon. Treasurer and have as members the Chairperson, 2 parent representatives and one staff representative. It shall report and explain agreed expenditure to the Committee as soon as possible.
  7. Special General Meetings

    1. Special General Meetings may be called at the written request of a minimum of 10 members or by a quorum of the Committee.
    2. Thirty days notice shall be given of any Special General Meeting to all members of the Association.
  8. Alterations to the Constitution

    1. a. Alterations to this Constitution may be made only at the Annual General Meeting or a Special General Meeting called for this purpose. No amendments or alterations shall be made without prior written permission of The Charity Commission to the text of Clauses 2, 8, and 9, and no alteration shall be made which would cause the Association to cease to be a charity in law. Alterations to the Constitution require the assent of two thirds of the members present and voting at an Annual or Special General Meeting.
  9. Dissolution of the Association

    1. a. The Association may be dissolved by a resolution presented at a Special General Meeting called for the purpose. The Resolution must have the assent of two thirds of those present and voting at the meeting. Such Resolution may give instructions for the disposal of assets remaining after satisfying any outstanding debts and liabilities. These assets shall not be distributed among members of the Association but will be given to the School for the benefit of the children of the School. In the event of the closure of the School, assets will go to the School to which the majority of the children will go, in any manner which is exclusively charitable in law. If effect cannot be given to this provision then the assets can be given to some other charitable purpose.
