Minutes of Last Meeting - 18.05.2006
N.B. All references to the constitution for the sake of both clarity and brevity will refer to the paragraph or clause numbers as detailed on the Model Constitution but will not duplicate the contents of the said paragraph or clause and only clauses where there was any discussion have been minuted.

Proposal
Consider the model constitution (NCPTA version 09/05), identify any issues there may be, discuss with a view to the adoption of the said constitution.
This proposal was seconded and voted upon and carried.
It was noted that if we used the Model Constitution without variation (apart from completing clauses 1.1 to 1.4) we would have the advantage of the Charity Commission's fast track procedure when you apply for registration as a Charity.
1. Variables list
1.1 Name
It was decided that no name change was needed.
1.4 Committee
This is where the biggest change would be. It was agreed that total minimal number of members should be 5. They would be the Officers 3 (the Chair, the Secretary, the Treasurer) Other officers would be 1 (Vice Chair) Number of ordinary committee members would be 1 ( the school representative) Number of possible Co Opted Committee members 0 (It was agreed that other officers could be selected at a later date).

It was noted that there were some new items in these two paragraphs and some items from the current constitution in a different category.
3.4 Taxable trading
It was noted that the uniform would not come under taxable trading.
3.6 Guarantees
Clarification was given that the PTFA would in effect be the underwriter for events at the school.
4 Membership
It was agreed that we would fall into clause 4.2 which is all the parent body in addition the members of staff teaching and non teaching. It was also pointed out that for any good reason a member may be excluded if the committee so wished. It was also pointed out that the Friends of the school did not hold the right to vote.
5 General Meetings
It was pointed out that everyone was welcome to attend the AGM / EGM as well as being entitled to attend.

It was duly noted that 21 days was the notice to be given for a General Meeting specifying the business to be transacted.
5.3
8 people would be needed to form a Quorum at any future AGM or EGM.
6 The Committee

The officers of the committee in turn accepted that position would in future include becoming a trustee of the Charity.

9.3 Personal interest
It was noted that any Committee member who has a personal interest in a matter to be discussed must declare that interest and abide by the rest of the clauses as detailed in 9.3.
10 Records and Accounts
It was felt that if the turnover of the PTFA was more than £10,000 in any one year that this section would have an impact.
11 Notices
It was noted that notice given out in the students book-bags or posted on the PTFA Website was covered under this section.

It was also pointed out that there is a technical defect clause granted.

21 days clear notice must be given for all amendments.

A vote was then held and the NCPTA model constitution was duly adopted.
A final proposal was then put forward for the application for charitable status to be submitted and was passed.
No other business relating to the Constitution or the Charitable status was discussed and the meeting was duly closed.
